Program Terms and Conditions

By registering to become a member (a "Member" or "you" or “your”) of SMARTWOOL REWARDS rewards program ("SMARTWOOL REWARDS" or the "Program") and by participating in the Program, you (i) represent that you are 13 years of age or older and (ii) agree to the following Program Terms and Conditions (these "Terms"). SMARTWOOL REWARDS Program is sponsored by Smartwool, a division of VF Outdoor, Inc. (“Smartwool”).

1. SMARTWOOL REWARDS Overview
When you join SMARTWOOL REWARDS, it allows you to participate in promotions and other loyalty programs on Smartwool’s website at www.smartwool.com. You may participate in other SMARTWOOL REWARDS activities announced by Smartwool from time to time.

2. Membership
A. Eligibility: You must be at least 13 years of age to become a member. Employees of all VF Corporation brands and individuals receiving a discount on Smartwool product (e.g. industry pros) are not eligible.

B. How to Join: You may register to become a Member online at www.smartwool.com by creating an account and indicating that you want to be a SMARTWOOL REWARDS Member.

C. Updating information: You are responsible for providing the correct email address to receive SMARTWOOL REWARDS benefits. You may update your personal information online at www.smartwool.com or by calling: 888.879.9665.

D. Term of Membership: Membership in the Program will continue indefinitely unless the customer requests to be removed (as outlined below) or if the Program is terminated by Smartwool.

3. Member Benefits
A. Members will receive exclusive promotions for Smartwool products via email and standard mail (if elected by Member). These promotions may be redeemed at www.smartwool.com using your SMARTWOOL REWARDS account.

B. Members may also receive early access to special events and invitations to participate in exclusive experiences.

4. Email and Privacy 
A. By registering for the Program, you agree to receive promotional email offers and updates from the Program and from Smartwool. As a benefit and condition of online enrollment in or registration for the Program, Members will be sent by email information about SMARTWOOL REWARDS, Program updates, and other related materials at the discretion of Smartwool. If Members unsubscribe from receiving SMARTWOOL REWARDS emails, their membership in the Program will be terminated. Members may also receive emails from Smartwool unrelated to the Program; unsubscribing from receiving these emails will not impact membership in the Program.

5. General Terms of the SMARTWOOL REWARDS Program 
A. Membership in the Program and its benefits are offered at the discretion of Smartwool, which reserves the right to terminate, change, limit, modify, or cancel any Program rules, regulations, benefits, or conditions of participation at any time.

B. If Smartwool changes or modifies these Terms, it will provide notice of any changes through these Terms. Electing to remain a Member after a change in the Terms constitutes your acceptance of the revised Terms.

C. These Terms are void where and to the extent prohibited by law.

D. In the event of a dispute over ownership of a SMARTWOOL REWARDS account, the registration will be declared to have been made by the authorized account holder of the email address submitted at the time of registration. For purposes of these Terms, the "authorized account holder" is the natural person who is assigned to the submitted email address by an internet provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

E. Abuse of the Program, including failure to abide by these Terms, the sale or barter (or the attempted sale or barter) of SMARTWOOL REWARDS or promotional offers, and any misrepresentation of fact relating thereto or other improper conduct as determined by Smartwool in its sole judgment may result in cancellation of a Member's account and future disqualification from Program participation. At our discretion we may prosecute abuse of the Program to the fullest extent of the law.

F. You may cancel your SMARTWOOL REWARDS membership at any time online at www.smartwool.com or by calling Customer Services at 888.879.9665. If you cancel your SMARTWOOL REWARDS membership, you are no longer eligible for SMARTWOOL REWARDS promotions, event invites and other happenings related to the Program.

G. SMARTWOOL REWARDS benefits are not transferable and may not be conveyed by any means to anyone.

H. By agreeing to participate in the SMARTWOOL REWARDS Program, you release VF Outdoor, Inc., its parent and subsidiaries and affiliate entities, and their respective, directors, officers, employees and agents (the "Released Parties") from all liability with respect to the misdirection or misuse of any SMARTWOOL REWARDS benefits. You further agree through your agreement to participate in the Program to release the Released Parties from and against any and all claims, damages, losses, liabilities, and other expenses (including, without limitation, attorney's fees) relating to your participation in the SMARTWOOL REWARDS Program or agreement to these Terms.

I. The Released Parties make no warranty, express or implied, including, but not limited to, any warranties of merchantability or fitness for a particular purpose with respect to the SMARTWOOL REWARDS Program, membership in the SMARTWOOL REWARDS Program, or any products or services related to the SMARTWOOL REWARDS Program.

J. The SMARTWOOL REWARDS Program and these Terms will be governed by and under the substantive laws of the State of Delaware, without reference to conflict-of-laws considerations. Any claims must be raised and resolved in the federal or state courts located in Dover, Delaware.

K. Smartwool logo, SMARTWOOL REWARDS Program logo, and other logos and taglines are the intellectual property of Smartwool.
